Terms of Service
These terms govern your access to and use of MyChefVision. Please read them carefully.
1 Acceptance of Terms
These Terms of Service ("Terms") form a legal agreement between you and MyChefVision, Inc., a Delaware corporation ("MyChefVision," "we," "us"). By creating an account, signing an order form, or using any part of our software, hardware, or related services (the "Service"), you agree to be bound by these Terms.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
2 The Service
MyChefVision provides an AI-powered kitchen operations platform that:
- Connects to cameras in your kitchen and runs computer-vision models on edge devices.
- Generates operational analytics, alerts, and reports about recipe adherence, hygiene compliance, and chef performance.
- Includes a web dashboard, mobile applications, and APIs for managers, chefs, and administrators.
We may improve, modify, or discontinue features at any time, provided we do not materially reduce the functionality of the Service during your subscription term.
3 Accounts & Authorized Users
You must provide accurate registration information and keep it up to date. You are responsible for:
- All activity that occurs under your account, including activity by your employees, contractors, and other Authorized Users.
- Maintaining the confidentiality of credentials and enabling multi-factor authentication where available.
- Notifying us promptly of any unauthorized access at security@mychefvision.com.
You agree to obtain any required consents from kitchen staff before enabling features that involve biometric processing, video annotation, or staff-level analytics.
4 Acceptable Use
You agree not to:
- Use the Service for any unlawful, harmful, or fraudulent purpose.
- Surveil, identify, or track individuals other than your own kitchen staff with their consent.
- Reverse engineer, decompile, or attempt to extract the underlying models or source code.
- Resell, sublicense, or grant access to the Service to any third party without our written consent.
- Upload viruses, malware, or content that infringes third-party rights.
- Interfere with the integrity or performance of the Service or attempt to bypass usage limits.
We may suspend or terminate accounts that violate this section, with or without notice depending on the severity.
5 Fees, Plans & Billing
Subscription
Access to the Service is provided on a monthly or annual subscription basis as set out in your order form. Fees are billed in advance and are non-refundable except where required by law.
Hardware
Edge devices and supported cameras may be purchased outright or rented as part of your subscription. Title to purchased hardware passes upon receipt of payment; rented hardware remains our property.
Taxes
Fees are exclusive of all applicable taxes, levies, and duties. You are responsible for paying any such taxes other than those imposed on our net income.
Late Payments
Overdue amounts accrue interest at the lower of 1.5% per month or the maximum rate permitted by law. We may suspend the Service for accounts more than 30 days overdue.
6 Customer Data & Ownership
You retain all rights, title, and interest in and to any data you, your Authorized Users, or your cameras provide to the Service ("Customer Data"). You grant us a limited, non-exclusive license to host, process, and use Customer Data solely to:
- Provide and improve the Service for you.
- Generate anonymized, aggregated statistics that do not identify you or any individual.
- Comply with legal obligations.

7 Intellectual Property
The Service, including all software, models, designs, trademarks, and documentation, is owned by MyChefVision and its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no license or right is granted to you. Feedback you provide may be used by us without restriction.
8 Warranties & Disclaimers
We warrant that the Service will perform materially in accordance with our documentation during your subscription term. As your sole remedy for any breach of this warranty, we will use commercially reasonable efforts to correct the issue or, if we cannot, refund prepaid fees for the affected period.
EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL DETECT EVERY SOP VIOLATION OR FOOD SAFETY INCIDENT.
9 Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, goodwill, or data, even if advised of the possibility.
Each party's total aggregate liability arising out of or related to these Terms shall not exceed the fees paid or payable by you to MyChefVision in the 12 months preceding the event giving rise to the claim. The foregoing limitations do not apply to a party's indemnification obligations, breaches of confidentiality, or to amounts due under section 5.
10 Indemnification
You agree to defend, indemnify, and hold harmless MyChefVision and its officers, directors, and employees from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Service in violation of these Terms; (b) your Customer Data, including any failure to obtain required consents; or (c) your violation of any law or third-party right.
11 Term & Termination
These Terms remain in effect for the duration of your subscription. Either party may terminate for material breach if the other party fails to cure within 30 days of written notice. You may cancel your subscription at any time through the dashboard; cancellation takes effect at the end of the current billing period.
Upon termination: (i) your right to access the Service ends; (ii) we will make Customer Data available for export for 30 days, after which it will be deleted; and (iii) any provisions that by their nature should survive termination (including IP, liability, indemnity, and dispute resolution) will survive.
12 Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms will be resolved exclusively by binding arbitration administered by JAMS in San Francisco, California, except that either party may seek injunctive relief in court for intellectual-property or confidentiality matters.
13 Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you at least 30 days before they take effect by email to the address on file or by a notice in the dashboard. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
